For the purpose of these Terms and Conditions, the "Advertiser" shall be defined as the party purchasing advertising services from Shopper UK Limited ("shopperuk.com"). The "Advertisement" shall be defined as the graphical medium provided by the Advertiser or the textual description agreed between the Advertiser and shopperuk.com, which is designed to promote products, services or visits to the Advertiser's Web Site. An "Impression" shall be defined as a single instance of rendering or transmitting an Advertisement from the shopperuk.com Web Site to a "Visitor" browsing the site via the Internet. A "Click Through" shall be defined as the event which occurs when a Visitor to the shopperuk.com Web Site activates a link associated with an Advertisement, which causes the Visitor to be delivered to the Advertiser's Web Site which is associated with that Advertisement.
Basis of the Sale
shopperuk.com shall sell and the Advertiser shall purchase advertising services in accordance with the published terms of shopperuk.com and these conditions shall govern the Contract to the exclusion of any other terms and conditions specified by the Advertiser. Any variation or waiver of these Terms and Conditions can only be by written agreement of both parties.
Upon placing an order with shopperuk.com, the Advertiser agrees that shopperuk.com has the right to display, transmit and promote the Advertisement provided by the Advertiser on the shopperuk.com Web Site and Visitors to the shopperuk.com site shall have the right to access any material or services linked to the Advertisement.
Any typographical, clerical or other error or omission in any Web document, sales literature, quotation, price list, acceptance of offer, invoice or other document or information issued by shopperuk.com shall be subject to correction without any liability on the part of shopperuk.com.
Where advertising is purchased on an Impression basis(CPM), the number of Impressions referred to in any shopperuk.com Price List or Quotation describes the maximum number of Impressions. Adverts will be displayed until the number of Impressions purchased have been used up. shopperuk.com will use their best endeavours to render the purchased number of Impressions as quickly as possible, however no time limit is attached to achieving these Impressions.
Where Advertising is purchased on a Click Through basis, the number of Click-thrus shall be exclusively calculated from schedules derived from the log files created within the shopperuk.com Web Site.
Where Advertising is purchased on a fixed term basis, the start and end period is initially reserved but only activated once payment has been received set in the payment terms section.
Payment Terms
Payment is required 4 weeks in Advance
For Campaigns of 3 months or less, 100% deposit is required in Advance
For campaigns of 3 months or more, the first 3 months are required 1 month in advance, then the 4th month payment is required before the start of the commencement of the 2nd month of campaign and similar pattern of payment commences hence forth.
Space cannot be guaranteed or reserved until a signed insertion order and deposit is received
Your company is invoiced on day 1 of each month of the campaign, payment due in 14 days absolute maximum.
For campaigns over 3 months and merchants wishing to prepay the whole period, there is an additional 10% saving.
shopperuk.com has the right to refuse any advertisement if they in their own minds consider the advert offensive to minors or adults, direct competitors or feel not appropriate for the content of the site. Since content is paramount for the viewing pleasure of the visitors of shopperuk.com
Payment by the Advertiser shall be due within the payment period defined in shopperuk.com quotation or subsequent acknowledgement of order. If no payment period is set out in these documents, payment shall be due immediately unless the Advertiser has opened a Credit Account with shopperuk.com , in which case payment shall be made within 14 days of the invoice date. The time of payment of the agreed price shall be of the essence of the Contract.
Where an Advertisement is placed on a per Impression basis, shopperuk.com will make no refund if the Advertiser requests that the Advertisement be removed prior to achieving the number of agreed Impressions.
Where Advertisements are placed on a Click Through basis, shopperuk.com may require a non-refundable deposit as a minimum payment. In this case, if an Advertiser's Account is closed, shopperuk.com will only refund the balance on the Account above the non-refundable deposit. The non-refundable deposit itself can be used up against further advertising within that scheme.
Right to Refuse or Remove Advertising
shopperuk.com at its sole discretion, reserves the right to reject an Advertisement or cease to display it, if it is deemed to be offensive, in violation of advertising standards or in breach of any Warranties provided by the Advertiser under this Contract. In those circumstances shopperuk.com reserves the right to terminate this Contract notwithstanding that any Warranties provided hereunder by the Advertiser relating to the transmission and promotion of the Advertisement shall stay in force.
Advertising which relates to Adult Content will not be accepted under the Channel/Category or General Rotation Categories. Any Keyword or Key Phrase Advertisement shall not be accepted if it contains nudity, profane language or is otherwise deemed by shopperuk.com to be offensive. Any link to a site containing Adult Content from an Advertisement which is accepted by shopperuk.com shall be through a page on the target site which does not contain Adult Material but shows a clear message warning visitors that the site contains Adult Content.
Advertiser's Warranties
shopperuk.com shall not be liable to the Advertiser by reason of any representation or any implied warranty, condition or other term, or any duty at common law or under the express terms of the contract, for any consequential loss or damage (whether for loss of profit or otherwise) costs expenses or other claims for consequential compensation whatsoever and whether caused by the negligence of shopperuk.com , its employees or agents or otherwise which arise out of or in connection with the supply of Advertising Services or their use or resale by the Client, except as expressly provided in these conditions.
By placing an order for Advertising Services with shopperuk.com, the Advertiser warrants that:
The Advertiser is wholly responsible for any legal liability relating to the Advertisement or the Web content that it links to and the consequences of its transmission or promotion by shopperuk.com.
The Advertisement does not contain or link to any offensive or pornographic content.
The transmission or the distribution of the Advertisement and the content which it links to does not infringe any copyright, trademark, intellectual property right or violate the privacy of any individual or breach advertising standards or violate any Laws in any Country or Jurisdiction where the Advertisement can be accessed. The Advertiser further indemnifies shopperuk.com against any claims, loss, damages, or legal expenses or other expenses in connection with any claims arising from a breach of these warranties.
